What are the Requirements for Business Registration?

The following are BIR Business Registration Requirements:

  • DTI Certification (Single Proprietor) • Articles of Partnership SEC (Partnership).
  • Contract of Lease or Land Title. • Contract of Lease – if you rent the place. • Land Title / Tax Declaration – if you own the place.
  • Mayor’s Permit. • Barangay Clearance.

  2. PART B – Registration of Business Names
  3. PART C – Registration of Incorporated Trustees (NGO’s)

These categories include the following services:

  • Incorporation of Companies (Private or Public Company, Limited by guarantee)
  • Business Name Registration
  • Registration of Incorporated Trustees
  • Same-Day Incorporation Services, in which companies are formed in a single day; Conducting searches; and Issuing Certified True Copies of filed documents.

  • Processing statutory filings of Annual Returns, including increases, changes in the memo and articles, addresses, and so on.

  • The sale of all Commission statutory forms and publications
  • Responding to inquiries and complaints about the Commission’s services.

NOTE: The CAC recognizes four types of business ventures: Private Limited Company (LTD), Public Limited Company (PLC), Companies limited by guarantee, and Unlimited Companies.

How to Check Your Company’s Registration Status with CAC

To check if your company or business is duly registered with CAC, follow the steps below:

  1. Visit the official CAC website at cac.gov.ng)
  2. Enter your company name in the field provided without “Plc”, “Limited” or “Ltd”.
  3. Click on the “I am not a robot” CAPTCHA box
  4. Click on the submit icon.

How to Search and Register a Business Name With the Corporate Affairs Commission

To search for a business name, or to register a new business name on CAC, follow the simple steps below:

  1. The first step is to decide on the name of the company that you wish to register. This can be done easily online. Simply visit the website http://publicsearch.cac.gov.ng:8080/comsearch/test.php to check the availability of the chosen name.
  2. Enter the name you want to look up, then check the box that says “I’m not a robot” and solve the captcha if prompted. Then press the “Search” button.
  3. If you entered a company name that is already registered on the CAC platform, the search results will show the company’s registration number, the company name, the company address, and the date of incorporation (registration).
  4. If the company name you entered is not registered on the CAC database, then the form will return a blank result. Now you can proceed to submit the name for reservation at CAC online website.
  5. If the CAC approves the name, it will hold the name for you for 60 days. During this timeframe, you are expected to complete the registration process for your business.
  6. The next step is to complete the pre-registration form – CAC1.1 Online using Company Registration Portal.
  7. The following information will be required to be complete the form:
  • Approved Name of the Business
  • General Nature of the Business
  • Address of the Business
  • Your Name, Address, Occupation as the Proprietor of the Business
  • Signature of the ProprietorJAMB Form
  1. You are expected to pay the filing and stamp duty fees to process the registration. You can find the list of fees for services on the CAC website. The fees can be paid either online or in person at a bank.
  2. The next step is to scan the signed copy of your pre-documents online. You are expected to upload the following documents:
    • Form CAC1.1
    • Memorandum and Article of Association (MEMART)
    • Recognized form of identification for Director(s)/Subscriber(s) and Secretary
    • Evidence of payment to CAC
    • Upload the scanned documents for processing. (click here)
  3. After uploading the required documents and making the necessary payments, the CAC will review the documentation and notify you that your application has been approved and your Business Name Certificate is ready for collection.
  4. Remember to go with the original copies of the documents uploaded to the CAC office you had selected to get your certificate.WAEC Result

The registration process usually takes a week, but this depends on the workload of the CAC. Note that if a company is not registered, a search will yield no results, indicating that the company is fraudulent.

Therefore, a company must be registered with the Corporate Affairs Commission in order to have legal standing. To avoid being scammed, it is critical to conduct due diligence before engaging in a service or transacting with a company.
